These Terms of Service, together with our Privacy Policy, Copyright Policy, Disclaimers, Refund Policy, and all other operating rules, policies, and procedures that we may publish via the Services (collectively, the "Terms"), govern your access to and use of any service, website, podcast episode, audio or video content, application, communication, or product provided by or on behalf of NY Executive Podcast (the "Services"). Each linked or referenced policy is incorporated by reference and may be changed by us at any time without notice.

By using the Services, submitting an inquiry, applying to be a featured guest, booking any package, or making any payment, you agree to these Terms. If you do not agree, you may not use the Services.

1. No Guarantees of Results

Testimonials, case studies, statistics, photographs, quotes, and any figures shown anywhere in our marketing, on this website, in any sales conversation, or in any communication reflect the individual experiences of past featured guests and are not typical, expected, average, or promised results. Outcomes depend on each guest's industry, offer, audience fit, preparation, follow-through, market conditions, and numerous factors entirely outside our control.

NY Executive Podcast makes no representation, warranty, or guarantee — express, implied, or statutory — of any specific result, revenue, audience growth, episode download count, listener count, social-media lift, follower growth, press coverage, lead volume, deal flow, valuation impact, brand recognition, fame, fortune, business growth, or career outcome of any kind, whether tangible or intangible.

2. Editorial & Distribution Discretion

NY Executive Podcast reserves the absolute and unilateral right, at any time and without notice, consent, or explanation, to: select, decline, schedule, reschedule, edit, re-edit, shorten, lengthen, withhold, delay, repurpose, re-air, license, or remove any episode, segment, clip, or material; choose, change, add, replace, or drop any host, co-host, guest, interviewer, or producer; determine which networks, streaming services, syndication partners, distribution platforms, podcast directories, satellite providers, terrestrial radio affiliates, smart-speaker channels, social-media platforms, or third-party outlets episodes appear on, are removed from, or are repositioned within; modify, substitute, reduce, eliminate, relocate, resize, or change the timing of any platform, placement, channel, billboard location, run-time, frequency, or feature referenced anywhere on this site, in any sales materials, in any pre-sale conversation, or in any post-sale communication; and change pricing, packaging, scheduling, production methods, format, branding, deliverable specifications, or any other element of our services.

Inclusion in or removal from any third-party platform, publication, podcast directory, syndication network, app, smart-speaker, in-flight system, or media outlet is determined by those independent parties and is never guaranteed by us. Logos, network names, publications, or platforms referenced on this site are illustrative of past or potential distribution and do not represent a commitment to any specific placement, frequency, or duration.

3. Strict No-Refund Policy

Due to the custom, made-to-order, time-blocked, and labor-intensive nature of our production, distribution, and promotional services — which begin upon booking and consume non-recoverable studio time, talent fees, editorial resources, and platform allocations — all sales are final and strictly non-refundable under any circumstances.

This applies company-wide to all featured-guest packages, deposits, payments, add-ons, balances, upgrades, retainers, and any other monetary exchange, regardless of whether the guest cancels, reschedules, fails to appear, fails to provide materials, fails to approve content, becomes unavailable, changes their mind, becomes dissatisfied with any deliverable, placement, edit, or outcome, or for any other reason whatsoever. No refunds, credits, partial returns, transfers, or chargebacks of any kind will be issued.

Booking, signing an order form, providing payment information, or making any payment constitutes full and binding acceptance of this no-refund policy. The client agrees not to initiate, support, or pursue any chargeback, dispute, or reversal with any credit-card issuer, bank, payment processor, or financial institution; any such attempt shall be a material breach of these Terms.

4. Limitation of Liability

To the maximum extent permitted by applicable law, NY Executive Podcast, its parent, subsidiaries, affiliates, officers, directors, employees, hosts, contractors, vendors, and agents shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or any other damages — including lost profits, lost revenue, lost opportunity, lost data, reputational harm, emotional distress, loss of goodwill, or business interruption — arising from or related to the Services, this website, any episode, any placement (or absence of placement), any third-party platform decision, any content, any communication, any delay, any error, or any act or omission, even if NY Executive Podcast has been advised of the possibility of such damages and regardless of the legal theory under which the claim is brought.

Aggregate liability, if any, shall not exceed the amount actually paid by the client to NY Executive Podcast in the ninety (90) days immediately preceding the event giving rise to the claim.

5. Indemnification

You agree to defend, indemnify, and hold harmless NY Executive Podcast and its affiliates, officers, directors, employees, hosts, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including reasonable attorneys' fees) arising from: (a) your use of and access to the Services; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; (d) any claim that any content you provided caused damage to a third party; (e) any statements, representations, or content provided by you in connection with any episode or interview.

6. No Professional Advice

Nothing on this website, in any episode, in any clip, in any social-media post, in any email, or in any communication from NY Executive Podcast or any of its hosts, guests, or contributors constitutes financial, legal, tax, medical, accounting, business, or investment advice. Always consult a qualified, independent professional before making any decision based on content related to or produced by us.

7. Trademarks & Third-Party References

All third-party trademarks, network names, publication names, logos, and platform marks referenced on this website or in our marketing appear for editorial and reference purposes only and do not imply endorsement, partnership, sponsorship, or affiliation unless explicitly stated in writing by the trademark holder. All such marks remain the property of their respective owners.

8. Eligibility & Booking

To engage our Services, you must be at or above the age of majority in your jurisdiction and have the legal authority to enter into a binding contract on behalf of yourself or your organization. You represent and warrant that all information you provide — including business information, biography, claims, statistics, and credentials — is true, accurate, and lawful. NY Executive Podcast may decline, cancel, or terminate any engagement at our sole discretion.

9. Modifications

NY Executive Podcast may modify these Terms, our Services, our pricing, our deliverables, our scheduling, and any content on this site at any time, with or without notice. Updated Terms are effective immediately upon posting unless we state otherwise. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively by binding individual arbitration administered in New York County, New York, in the English language. The client waives any right to participate in any class, collective, or representative action.

11. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent.
